Practice
Commercial contracts.
Your business signs more contracts each quarter, and most of them follow positions your team has already settled. We take on that share of the work: we review and negotiate to your positions, and bring back the points you reserve.
Review
We review commercial contracts on either side’s paper.
Confidentiality agreements, customer and vendor agreements, master services agreements and statements of work, SaaS and software licences, procurement and supply, distribution and reseller agreements, and data processing agreements. We check the counterparty’s changes against your positions when the deal is on your paper, and mark up the counterparty’s paper to them.
Each document comes back ready for your team to negotiate or sign.
Negotiation
We carry a contract through every round.
We compare each reply with the draft we sent, bring every open point back to you with a proposed position, and prepare the next draft once you decide. No point is lost between rounds, and no round starts from scratch.
A partner negotiates directly with the counterparty on contracts governed by Indian law. On contracts governed by other law your counsel leads, and we prepare each round and brief the person who takes the call.
Peaks
We take on the same work for a fixed period.
Quarter-ends, procurement cycles, acquisitions and vacancies each bring more contracts for a few months. We take on an agreed share of the work for those months, without a hire on your side, and the engagement ends when the peak passes.
Your decisions
The decisions stay with your business and your team.
The business decides the commercial terms, and your team decides the legal positions. We work to the positions you have settled, and we bring every point you reserve back to you before we concede anything.
