The same work as our commercial contracts practice, with the partner advising on the Indian law and conducting the negotiation.

Term sheets, share subscription, share purchase and shareholders’ agreements, the amended articles, disclosure letters and the documents that complete them, within the Companies Act, 2013 and the foreign exchange rules that govern inbound investment. We agree the scope and fee of each transaction before work begins.
Cross-border
Cross-border India counsel.
Indian-law advice for foreign companies and their lead counsel: contracts with Indian counterparties, intra-group agreements for Indian subsidiaries and global capability centres, and India-specific schedules to global agreements.
We advise on the Indian law that touches the main agreement, and work to the timetable of the lead counsel who advises on its own law.

Technology and data.
Data processing agreements, information security schedules, cloud and AI services terms, and customer-facing privacy terms, under the Digital Personal Data Protection Act, 2023 and its Rules.
